Terms and Conditions
These terms govern orders, accounts, payments, delivery, software licenses, future physical merchandise, and the legal framework for purchases made through the shop.
These Terms and Conditions ("Terms") govern your use of the Synthetic Factory website and web shop located at https://syntheticfactory.com/ ("Shop"), operated by SYNTHETIC FACTORY obrt za racunalno programiranje, vl. Ognjen Jaric, Istarska 15, Bjelovar, 43000, Croatia ("we", "us", "our").
By placing an order or creating an account, you agree to be bound by these Terms. Please read them carefully before purchasing.
1. General
These Terms apply to all products and services sold through the Shop, including but not limited to:
- Software products and licenses
- Physical merchandise (e.g. apparel, accessories)
- Any future products or services offered by Synthetic Factory
Where a product is subject to a separate End User License Agreement (EULA), that agreement governs the use of the product and these Terms govern the purchase transaction. In the event of a conflict between these Terms and a product-specific EULA, the EULA prevails with respect to product use.
2. Eligibility
You must be at least 18 years of age to place an order. By purchasing, you confirm that you are of legal age and have the legal capacity to enter into a binding agreement.
If you are purchasing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Account
To purchase from the Shop you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please notify us immediately at support@syntheticfactory.com if you suspect unauthorized use of your account.
4. Pricing and Payment
All prices are displayed in EUR and are exclusive of VAT unless stated otherwise. The applicable VAT rate will be calculated and displayed at checkout based on your location.
Payments are processed securely by Stripe, Inc. We do not store your payment card details. By completing a purchase you agree to Stripe's terms of service.
We reserve the right to change prices at any time. Price changes do not affect orders already placed and confirmed.
5. Orders and Confirmation
An order is placed when you complete the checkout process and receive an order confirmation email. This confirmation constitutes acceptance of your order and forms a binding contract between you and Synthetic Factory.
We reserve the right to refuse or cancel any order at our sole discretion, including in cases of pricing errors, suspected fraud, or product unavailability. In such cases you will be notified and any payment taken will be refunded in full.
6. Digital Products - Software Licenses
6.1 Delivery
Upon successful payment, your license key and download link will be delivered to the email address associated with your account. Delivery is typically immediate but may take up to 24 hours.
6.2 License Terms
Your use of any software product purchased through the Shop is governed by the applicable EULA provided with that product. By completing your purchase you confirm that you have read and agree to the applicable EULA.
6.3 Updates
Where a software product includes an update entitlement period, the scope and duration of that entitlement is defined in the applicable EULA or product description at the time of purchase.
6.4 Right of Withdrawal - Digital Products
Under EU consumer rights law, you have a 14-day right of withdrawal from the date of purchase. However, by completing your purchase and requesting immediate delivery of the digital product (license key and download), you explicitly consent to the immediate performance of the contract and acknowledge that you thereby waive your right of withdrawal once the digital content has been made available to you.
This waiver is confirmed by the mandatory checkbox at checkout. The acceptance, timestamp, and IP address are stored with your order record. If you do not agree to waive this right, do not complete the purchase.
6.5 Refunds - Digital Products
Refunds and conformity remedies for digital products are governed by our Refund Policy. In summary, refunds are not available once a license key has been issued and the download made available, except where the digital content lacks conformity with the contract under Directive (EU) 2019/770. 7. Physical Products - Merchandise
7.1 Delivery
Physical products will be shipped to the address provided at checkout. Delivery times and shipping costs will be displayed at checkout and vary by destination. We are not responsible for delays caused by customs, postal services, or other factors outside our control.
7.2 Right of Withdrawal - Physical Products
Withdrawal rights, return conditions, and refunds for physical merchandise are governed by our Refund Policy.
7.3 Damaged or Incorrect Items
Damaged or incorrect item claims for physical merchandise are governed by our Refund Policy.
8. VAT and Taxes
Prices displayed in the Shop may or may not include VAT depending on your location and the type of product purchased. Where applicable, VAT will be displayed at checkout before you complete your purchase.
You are responsible for any import duties, customs fees, or local taxes applicable to goods shipped to your country. For business purchases, you may be required to provide a valid VAT identification number at checkout.
9. Intellectual Property
All content on the Shop, including but not limited to text, graphics, logos, product names, and software, is the property of Synthetic Factory or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Shop without our prior written consent.
Purchase of a product does not transfer any intellectual property rights to you beyond those expressly granted in these Terms or the applicable EULA.
10. Acceptable Use
You agree not to use the Shop or any product purchased through it for any unlawful purpose or in any way that could damage, disable, or impair the Shop or interfere with any other party's use of it.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Synthetic Factory's total liability to you for any claim arising out of or related to these Terms or any purchase shall not exceed the amount you paid for the relevant product.
We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity, arising from your use of the Shop or any product purchased through it.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Croatia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Croatia.
If you are a consumer resident in the EU, you can find a certified dispute resolution body in your country at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies.
13. Changes to These Terms
We reserve the right to update these Terms at any time. The updated Terms will be posted on this page with a revised effective date. Continued use of the Shop after changes are posted constitutes acceptance of the updated Terms. For material changes, we will notify registered account holders by email where practicable.
